Terms of Service

Welcome to PrTask. These Terms of Service govern your access to and use of the PrTask platform, a developer marketplace where clients post tasks with bounties and developers submit pull requests for payment. By creating an account or using PrTask, you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. User Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts in your jurisdiction to use PrTask. By creating an account, you represent and warrant that you meet these eligibility requirements. PrTask is not intended for users under 18 years of age in any jurisdiction. Where applicable law sets a higher age of majority, you must meet that threshold.

2. Platform Role

PrTask acts as an intermediary connecting clients who post tasks with developers who submit pull requests. PrTask does not employ developers and is not responsible for the quality of work delivered.

3. Account Creation

To use PrTask, you must create an account by authenticating through a supported single sign-on (SSO) provider such as GitHub, Google, Microsoft, or Okta. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must provide accurate and complete information during registration and keep your account information up to date. You may not create more than one account or share your account with others.

4. Developer Obligations

As a developer on PrTask, you agree to: submit only original work that you have the right to license; disclose the use of AI-generated code in your pull request descriptions; comply with the open source license requirements of each task's repository; complete KYC identity verification before receiving any payouts; not submit plagiarized, stolen, or unlicensed code; maintain professional conduct in all platform interactions; and comply with all applicable laws and regulations in your jurisdiction, including tax reporting obligations.

5. Client Obligations

As a client on PrTask, you agree to: provide clear and accurate task descriptions and requirements; set fair and appropriate bounty amounts for the work requested; review submitted pull requests in a timely and good-faith manner; authorize payment upon approving a pull request; maintain a valid payment method on your account; not post fraudulent, misleading, or illegal tasks; and comply with all applicable laws and regulations in your jurisdiction.

6. Payment Terms

When a client approves a pull request, they are automatically charged the bounty amount via their registered payment method. The full bounty is then paid to the developer. All transactions are in US Dollars (USD). There are no platform fees.

7. Accepted Payment Methods

Clients pay bounties via supported payment methods including credit cards. Developers receive payouts through their chosen method. Developers must configure their preferred payout method in their account settings before submitting pull requests.

8. Platform Fee

PrTask is a free platform. No fees are charged to clients or developers. Developers receive 100% of the bounty amount upon PR approval.

9. Public Pull Requests

All pull requests submitted on PrTask are public. Multiple developers may submit pull requests for the same task. The client reviews all submissions and chooses which pull request to approve. Only the approved PR results in payment.

10. Automatic Payment

Clients are automatically charged the bounty amount when they approve a pull request. By approving a PR, the client authorizes the charge. No upfront deposit is required.

11. Refund Rights

Clients may request a refund if a pull request was approved in error or if the delivered work materially fails to meet the task requirements. Refund requests must be submitted within 7 days of payment. PrTask will review refund requests within 5 business days and process eligible refunds through the original payment method. For EU residents, the 14-day right of withdrawal for digital services applies as detailed in our Refund Policy. For Philippine residents, consumer protection rights under RA 7394 are fully honored. 12. Intellectual Property

All code submitted through PrTask remains the intellectual property of its author until a bounty is paid. Upon payment, the submitted code is licensed to the client under the repository's license. PrTask retains no ownership of user-submitted code.

13. License Grants

Upon approval and payment of a bounty, the developer grants the client a perpetual, worldwide, non-exclusive, irrevocable license to use, modify, reproduce, and distribute the submitted code, subject to any open source license requirements of the repository. The developer retains copyright ownership of their code. PrTask is granted a non-exclusive, worldwide license to display, cache, and reproduce submitted code solely for the purpose of operating and improving the platform. Developers represent and warrant that they have the legal right to grant these licenses and that their submissions are free of third-party intellectual property claims.

14. Dispute Resolution

All disputes arising out of or relating to these Terms or your use of PrTask shall be resolved through the following process: (1) Users must first submit a written complaint to support@prtask.com describing the issue and desired resolution; (2) PrTask will acknowledge the complaint within 3 business days and investigate within 14 business days; (3) If the complaint is not resolved to the user's satisfaction, the dispute shall proceed to mediation administered by a mutually agreed mediator; (4) If mediation fails, the dispute shall be resolved through binding arbitration as described in the Arbitration section below. Users may also file complaints with the Department of Trade and Industry (DTI) or other applicable consumer protection agencies in their jurisdiction.

15. Arbitration

All disputes arising out of or relating to these Terms or your use of PrTask that are not resolved through the internal dispute resolution process shall be resolved through binding arbitration administered by a mutually agreed arbitral institution. You agree to waive the right to a jury trial and to participate in a class action. You may opt out of this arbitration agreement within 30 days of account creation by sending written notice to legal@prtask.com. Small claims court actions are exempt from this arbitration requirement. EU residents retain the right to access Alternative Dispute Resolution (ADR) mechanisms and may file complaints with the applicable consumer arbitration board in their Member State.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in the courts of the Republic of the Philippines. Notwithstanding the foregoing, mandatory consumer protection laws of your jurisdiction of residence may apply to the extent they cannot be excluded by contract. EU residents retain all rights under applicable EU consumer protection regulations regardless of governing law selection.

17. Limitation of Liability

To the maximum extent permitted by applicable law, PrTask and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the platform. PrTask's total aggregate liability for any claims shall not exceed the total fees paid by or to you through the platform in the twelve months preceding the claim. This limitation does not apply to liability that cannot be excluded or limited under applicable law, including mandatory consumer protection laws in the EU, Philippines, and other jurisdictions.

18. Indemnification

You agree to indemnify, defend, and hold harmless PrTask, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the platform, your violation of these Terms, or your infringement of any third-party rights. This indemnification obligation does not apply to the extent prohibited by applicable mandatory consumer protection laws in your jurisdiction.

19. Disclaimer of Warranties

The PrTask platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. PrTask disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. PrTask does not guarantee the quality, accuracy, or completeness of any work submitted by developers, nor does it guarantee that the platform will be uninterrupted, secure, or error-free. This disclaimer does not affect mandatory consumer rights that cannot be excluded under applicable law, including EU consumer protection regulations.

20. Consumer Protection

PrTask complies with Republic Act No. 7394 (Consumer Act of the Philippines) and equivalent consumer protection laws in all jurisdictions where the platform operates. Users are entitled to fair and equitable treatment, accurate information about services and pricing, and access to effective complaint and redress mechanisms. PrTask maintains transparent pricing with no hidden fees, provides clear service descriptions for all tasks and bounties, and ensures that users can exercise their consumer rights without obstruction. EU users benefit from the protections of the Consumer Rights Directive (2011/83/EU), including pre-contractual information requirements and the right to cancel distance contracts.

21. Anti-Money Laundering Compliance

PrTask complies with Republic Act No. 9160 (Anti-Money Laundering Act) as amended by RA 11521, EU Anti-Money Laundering Directives (AMLD6), and applicable AML laws in all jurisdictions. All users must complete Know Your Customer (KYC) verification before receiving payouts. PrTask monitors transactions for suspicious activity and reports covered and suspicious transactions to the Anti-Money Laundering Council (AMLC) and relevant authorities as required by law. Users must not use PrTask to launder money, finance terrorism, or facilitate any illegal financial activity. PrTask reserves the right to freeze accounts and withhold funds pending investigation of suspicious activity.

22. Tax Responsibilities

Users are solely responsible for determining and fulfilling their own tax obligations arising from transactions on PrTask, including income tax reporting to the Bureau of Internal Revenue (BIR) or equivalent authority in their jurisdiction. PrTask does not withhold taxes on behalf of users and does not provide tax advice. PrTask may collect tax identification information (W-9/W-8BEN for US persons, equivalent for other jurisdictions) and issue IRS Form 1099-K for US payees exceeding applicable thresholds. PrTask complies with DAC7 reporting for EU activities and Philippine VAT requirements under RA 12023. PrTask may generate transaction summaries to assist users with tax reporting, but users must independently verify their tax obligations.

23. EU Consumer Rights

EU residents have a 14-day right of withdrawal for digital services under the Consumer Rights Directive. This right may be waived at the point of purchase with your explicit consent and acknowledgment that you lose the withdrawal right once the digital service is fully performed. PrTask provides clear pre-contractual information about prices, main characteristics of services, and trader identity. From June 2026, PrTask will provide a clear "Cancel my contract" function as required by EU law. PrTask participates in Alternative Dispute Resolution (ADR) as required by the Digital Services Act. Users may contact the applicable consumer arbitration board in their EU Member State for out-of-court dispute settlement.

24. Content Moderation (EU DSA)

In compliance with the EU Digital Services Act (DSA) 2022/2065, PrTask maintains transparent content moderation policies. Users may flag illegal or harmful content through our reporting mechanism. PrTask provides a statement of reasons for every content moderation decision and offers an internal complaint handling mechanism for users affected by moderation decisions. Users have access to out-of-court dispute settlement. PrTask publishes annual transparency reports on content moderation activities. PrTask prohibits dark patterns in all user interfaces and ensures that content moderation decisions are made in a non-discriminatory manner with due regard for fundamental rights.

25. User Conduct

Users agree to use PrTask in a lawful manner. Prohibited activities include submitting plagiarized code, manipulating leaderboard rankings, creating multiple accounts, and engaging in fraudulent payment activities. See our Acceptable Use Policy for full details.

26. Confidentiality

Users agree to keep confidential any non-public information obtained through the platform, including but not limited to private repository code, client business requirements, and payment details of other users.

27. Account Termination

PrTask reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or abuse the platform. Upon termination, your right to use the platform ceases immediately. Any pending bounties may be forfeited. PrTask will retain transaction records as required by applicable tax and AML regulations. You may request deletion of your personal data subject to legal retention requirements by contacting privacy@prtask.com. EU users retain the right to cancel their contract as provided by the Consumer Rights Directive.

28. Force Majeure

PrTask shall not be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, epidemics, internet outages, or government actions.

29. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

30. Waiver

The failure of PrTask to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of PrTask.

31. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, Refund Policy, DMCA Policy, and any other policies referenced herein, constitute the entire agreement between you and PrTask regarding your use of the platform. These Terms supersede all prior agreements, understandings, and communications between you and PrTask, whether oral or written.

32. Modification of Terms

PrTask reserves the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the platform at least 30 days before taking effect. Your continued use of PrTask after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must discontinue use and close your account. Previous versions of these Terms are available upon request.

33. Privacy

Your use of PrTask is subject to our Privacy Policy. By using the platform, you consent to the collection and use of your information as described in the Privacy Policy.
